Terms & Conditions
These terms and conditions govern the booking of talent represented by Poetry of People Ltd, trading as Poetry Management (“we”, “us”, “the Agency”), a company registered in England and Wales, company number 16944808, registered office C/O Art Hub Studios, Mornington Centre, Stanley Street, London SE8 4BL, United Kingdom. They apply to any client (“you”, “the Client”) who books our talent, and are to be read together with the booking confirmation, which contains the specific details of each booking.
1. Bookings
Options. An option is a provisional hold on a model’s time. Options are recorded in the order they are received. If more than one client holds an option on the same model, later options take priority in turn. An option must be confirmed or released on request; if it is not confirmed, it may lapse and the model’s time released to others.
Confirmed bookings. A confirmed booking is binding on both the Client and the Agency. At the Client’s request we will confirm the essential details of the booking in writing.
Weather-dependent bookings. Bookings that depend on weather must be identified as such at the time of booking. Unless agreed otherwise, they are treated as fair-weather bookings.
2. Fees and commission
All fees are agreed with and payable to the Agency. A commission of 20% of the model fee is payable by the Client to the Agency in addition to the model fee, unless otherwise agreed in writing.
All matters relating to fees, the use of a model’s image and any other services provided by the model must be negotiated and agreed only with the Agency. The Client must not approach or negotiate directly with the model.
3. Cancellation
If a booking is cancelled more than 48 hours before the scheduled start of work, no cancellation fee applies, although any expenses already incurred by the model or the Agency, and agreed with the Client, remain payable.
If a booking is cancelled within 48 hours of the scheduled start of work, 50% of the model fee is payable.
If a booking is cancelled within 24 hours of the scheduled start of work, 100% of the model fee is payable.
For weather-dependent bookings, the first weather-related cancellation is charged at 50% of the model fee, and any subsequent weather-related cancellation at 100%. Any non-refundable expenses already incurred, such as travel or flights, remain payable by the Client.
The Agency may cancel a booking at any time before the booking date. Where it does, it will use reasonable endeavours to give notice and to offer a suitable replacement, and will not be liable to the Client for any costs arising from the cancellation.
4. Working hours
A full day booking consists of 8 hours of work plus a one-hour break. A half day booking consists of 4 hours. Unless agreed otherwise, working hours fall between 8:00 am and 5:00 pm. Preparation of the model by hair and make-up counts as working time.
Time worked beyond the agreed hours is charged pro rata on the agreed daily fee. Overruns of up to 30 minutes are not charged. The agreed fee is not reduced if a booking finishes early.
5. Usage rights
Unless otherwise agreed and set out in the booking confirmation, payment of the booking fee entitles the Client to use the resulting material in a single published medium, for one year, in the territory in which the Agency is based.
Any use beyond what is agreed in the booking confirmation, including use in additional media, territories or time periods, must be agreed separately with the Agency and may be subject to further fees. Usage rights may only be exercised once the agreed fee has been paid in full.
The Client agrees that no image, video or likeness of a model obtained through a booking may be used for the training, development or deployment of artificial intelligence systems, including generative AI, deepfakes or biometric processing, without the Agency’s prior written consent.
6. Travel and expenses
Unless agreed otherwise, the Client bears the travel and accommodation costs of the booked model. Models who live at or near the location are not reimbursed for overnight stays.
7. Payment
Invoices are payable within 30 days of the invoice date, without deduction. Late payment may incur interest. The full amount invoiced includes the model fee, the Agency commission, and any agreed travel and expenses.
8. Client obligations
The Client must ensure that the location and working conditions are safe and that the model can work in compliance with all applicable health and safety standards and laws. The Client must provide a suitable private space for the model to prepare. The Client must not ask a model to sign any additional document or release without the Agency’s prior written consent.
9. Liability
The Agency’s total liability under any booking is limited to the amount of the booking fee and any travel expenses incurred. The Agency is not liable for indirect or consequential losses, including loss of business, profit, revenue, goodwill or reputation, even if advised of the possibility of such loss. Nothing in these terms limits liability for death or personal injury caused by negligence, for fraud, or for any liability that cannot be excluded by law.
10. Confidentiality
Neither party will use or disclose to any third party confidential information of the other that comes to its knowledge in connection with a booking.
11. Data protection
We process personal data in accordance with our Privacy Policy, available on our website. Any questions about how we handle personal data can be directed to info@poetrymanagement.com.
12. General
These terms are governed by English law, and the courts of England and Wales have exclusive jurisdiction over any dispute arising from them. If any provision is found to be invalid or unenforceable, the remaining provisions continue in full effect. Any change to a confirmed booking must be agreed in writing.
